1. Introduction

“Services” refers to all consulting and professional offerings, including Asana Consulting, Strategic Project Management, Process Improvement, bundled packages, hourly services, monthly retainers, and any add-ons.
“Third-Party Platforms” refers to any external tools or communication channels used now or in the future, including but not limited to Zoom, Google Meet, LinkedIn, Instagram, email providers, payment processors, and Asana.
3. Nature of Services
The Website provides consulting and professional services, including Asana Consulting, Strategic Project Management, Process Improvement, and bundled service offerings. Services may also include hourly ad-hoc consulting, monthly retainer support, workflow development, project leadership, auditing, system optimization, documentation, templates, dashboards, automation development, training, and process refinement. Asana Consulting includes two engagement types—Option A, where clients provide full access to their Asana environment, and Option B, where clients provide Guest Access only. Bundled services may also follow the Option A or Option B model depending on whether the Asana Consulting component is included.
All services are offered through structured tiers, add-on options, and engagement models described on the Website, within provided service documentation, or as communicated directly with the client.
4. Engagement and Client Contact
Most client engagements begin through the Website, email, LinkedIn, Instagram, business card, or referrals. After initial contact, communications may continue through email and online video conferencing platforms such as Zoom or Google Meet. The user acknowledges that all service delivery, consultation sessions, training sessions, strategy meetings, and other engagements may take place virtually unless expressly stated otherwise.
5. Eligibility
Users must be at least eighteen (18) years of age and possess the legal authority to enter into binding agreements. By using the Website, you confirm that you meet this requirement.
6. Scope of Use
The Website may be accessed for lawful, personal, and non-commercial purposes. Users may not engage in activities that disrupt the functioning of the Website or attempt to extract, copy, or misuse Website content, service descriptions, templates, guides, or intellectual property. Unauthorized reproduction, distribution, or exploitation of Website materials is prohibited.
7. Hourly Services and Retainer Engagements
Hourly services require a minimum commitment of three hours and are intended for ad-hoc support, such as reviewing project plans, drafting project charters, facilitating project kickoffs, or providing targeted consulting assistance. Monthly retainers require a minimum commitment of ten (10) hours per month and a maximum of twenty (20) hours per month. Retainer hours may include consultation, troubleshooting, system optimization, strategy development, training, documentation, process refinement, and related support. Hours must be used within the month unless otherwise agreed in writing.
8. Tiered Service Packages and Add-Ons
Each primary service category includes Tier 1 and Tier 2 levels of service with clearly defined scope, deliverables, timelines, and responsibilities. Additional add-ons may be purchased to increase capacity, extend support, enhance system features, or expand process coverage. The scope of each tier or add-on will be defined during the engagement and may vary based on whether the client provides full access or guest access to their systems.
9. Client Responsibilities
Clients are responsible for providing accurate information, timely access to systems such as Asana, relevant documentation, required approvals, and participation in scheduled meetings. If the client chooses Asana Consulting Option B, where only Guest Access is allowed, the client acknowledges that service delivery may be limited and certain features or actions may not be available. The client must ensure that all necessary team members attend requested meetings, provide approvals, and participate in the process as required.
10. Payment Terms
Payment must be made through approved methods as communicated during the engagement or checkout. Fees for project-based services, tiered service packages, and bundled options must be paid 50% in advance after the Statement of Work (SOW) is signed, with the remaining 50% due upon completion of the deliverables or milestones outlined in the SOW. Monthly retainer services must be paid in full upfront at the beginning of each monthly cycle and hours may not be carried forward.
Hourly ad-hoc services will be billed after the work has been completed, and payment is due upon receipt of the invoice. Prices for services, hourly rates, retainers, tiered packages, or add-ons may change at any time. The user agrees to maintain accurate billing information. Taxes, processing fees, or other charges may apply depending on the user’s location.
11. Refund and Cancellation Policy
Unless otherwise stated, all payments for consultations, retainers, digital materials, Asana consulting, project management services, process improvement services, or bundled engagements are final and non-refundable. Scheduled sessions may be rescheduled with reasonable notice. Failure to attend a scheduled session without notice may result in forfeited hours. Refunds may be issued only at the sole discretion of the service provider.
12. Intellectual Property
The Website, along with all service materials, templates, workflow designs, process documentation, dashboards, automation scripts, training content, and consulting deliverables, remains the intellectual property of the Website owner unless otherwise agreed in writing. Clients may use deliverables solely for internal business purposes. Reproduction, distribution, or use of provided materials for resale or external distribution is strictly prohibited unless expressly authorized.
13. Confidentiality
Any confidential information shared during consultations, system access, document exchanges, virtual meetings, or service delivery will be handled in accordance with the separate Non-Disclosure Agreement (NDA) executed between the parties. Users acknowledge that protecting internal business information, workflows, project details, and system access credentials is essential to the integrity of the engagement.
14. Virtual Meetings and Communications
All communication may occur through email or virtual meeting platforms such as Zoom or Google Meet. Users acknowledge that third-party platforms have their own terms, conditions, and privacy practices. The Website owner is not responsible for issues arising from third-party applications.
15. Limitation of Liability
The Website owner is not liable for any indirect, incidental, consequential, punitive, or special damages arising from the use of the Website or services provided. This includes loss of profits, business interruption, data loss, delays, miscommunications, system access limitations, or errors caused by third-party tools. The total liability for any claim shall not exceed the total fees paid by the client for services rendered.
16. Disclaimer of Warranty
The Website and all services are provided on an “as is” and “as available” basis. No warranties are provided regarding completeness, accuracy, availability, or suitability of the Website or its content. Service outcomes are influenced by client participation, system access limitations, team compliance, and environmental factors. No guarantee of results is provided.
17. Third-Party Services
The Website may reference or integrate tools such as Zoom, Google Meet, Asana, email platforms, analytics services, and other software. We do not control or assume liability for third-party tools. Users must comply with the terms and conditions of those platforms.
18. Termination
We reserve the right to terminate or suspend access to the Website or services if a user violates these Terms, fails to pay required fees, refuses to cooperate, limits necessary system access, or engages in harmful behavior.
19. Governing Law
These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Any dispute arising from your use of the Website or services shall be resolved exclusively in the state or federal courts located in the jurisdiction where the Website owner operates. By using the Website, you agree to submit to the personal jurisdiction of those courts and waive any objections to venue.
